A. Governing Law & Venue

These Terms of Use and disputes arising solely from access to or use of the public website are governed by the laws of the State of California, without regard to conflict-of-law principles. Any judicial proceeding arising solely from these Terms of Use or use of the public website must be brought in a state or federal court located in Santa Clara County, California. Both parties consent to personal jurisdiction there.

This provision does not deprive a consumer of any nonwaivable protection provided by the laws of their place of residence, nor does it supersede dispute-resolution provisions in an applicable written engagement agreement.

B. No Mandatory Arbitration Under Website Terms
